This Agreement contains the complete terms and conditions that apply to
an individual's or entity's participation in the All-Reviews.com Reviewer
Program (the "Program").
Ownership of Reviews
You agree to submit to All-Reviews.com only reviews that you have written
or have been asked to submit by the author. You agree not
to submit any reviews which, for any reason, could not legally be posted
on the All-Reviews.com web site. Your submission of a review grants the
Program permission to publish the review on the web site. We reserve
the right to reject any review that we deem to be unsuitable.
Commission Credits
All-Reviews.com will distribute one-third of the commissions it receives
from its affiliates to the All-Reviews.com reviewers. This includes
commissions from the sale of items that are not specifically reviewed
on our site (more than half of our affiliates sales are from books, videos
etc. that have not yet been reviewed on our site!). However, any
advertising fees we collect will not be subject to this distribution.
The share distributed to each reviewer will be based on the number of reviews
he/she has written; if a reviewer has written 10% of the total reviews,
that reviewer will receive 10% of the distributed amount.
Commission Schedule
The amount of commission any reviewer receives is affected by the commission
that All-Reviews.com collects. The amount All-Reviews.com collects is
based on the commission schedule of each affiliate.
These schedules are controlled solely by the affiliates and
are subject to change without notice. All of the commission
information is summarized in the table below. The share
distributed to each reviewer will be based on the number of reviews
he/she has written; if a reviewer has written 10% of the total reviews,
that reviewer will receive 10% of the distributed amount.

Note that for All-Reviews.com to earn a commission from one of our
affiliates a reader must 1) follow a link on our site directly to the
affiliate site (via a hyperlink, logo, or search box), 2) purchase the
product without first leaving the site and then 3) accept delivery of
the product.
Commission Payments
We will pay you commission fees on a quarterly basis. Approximately 45
days following the end of each calendar quarter, we will send you a
check for the commission fees earned during that quarter, less any taxes
that we are required by law to withhold. However, if the commission fees
payable to you for any calendar quarter are less than $30.00, we will
carry-over the referral fees until the total amount at the end of the
quarter reaches at least $30.00.
Terms of the Agreement
The term of this Agreement will begin upon our acceptance of your
application and will end when terminated by either party. Either you or we
may terminate this Agreement at any time, with or without cause, by giving
the other party notice of termination. However, because the publishing of
reviews on our site is a time-intensive process, we will not remove
reviews previously posted. Should All-Reviews.com
terminate your account or terminate business, we will pay you any existing
commission fees as long as your account contains a minimum of $10.
Modification
We may modify any of the terms and conditions contained in this Agreement,
at any time and in our sole discretion, by posting or emailing a
change notice or posting a new agreement on our site. Modifications may
include, for example, the percentage of commissions allocated to you, the
scope of what products are subject to earn commissions, payment
procedures, and Program rules. If any modification is unacceptable
to you, your only recourse is to terminate this agreement. Your
continued participation following our posting of a change will
constitute acceptance of the change.
Relationship of Parties
You and we are independent contractors and nothing in this Agreement will
create any partnership, joint venture, agency, franchise, sales
representative, or employment relationship between the parties.
You will have no authority to make or accept any offers or representations
on our behalf. You will not make any statement, whether on
your site or otherwise, that reasonably would contradict anything in
this Section.
Limitation of Liability
We will not be liable for any damages (loss of revenue, profits, or data)
arising in connection with this Agreement or the Program. Further,
our aggregate liability arising with respect to this Agreement and the
Program will not exceed the total referral fees paid or payable to you under
this Agreement.
Disclaimers
We make no express or implied warranties or representations with respect
to the Program or any products recommended through the Program.
In addition, we make no representation that the operation of our site will
be uninterrupted or error-free, and we will not be liable for the
consequences of any interruptions or errors.
